HEA Energy has agreed to acquire Seaway7 Heavy Transport, the heavy transportation business of Seaway7, part of the Subsea7 Group.

According to Subsea7, the transaction covers six vessels, five owned by Seaway7 Heavy Transport and one chartered from a third party.

While the acquisition announcement does not identify the vessels by name, Seaway7’s published fleet information lists six vessels in its heavy transportation business: Seaway Eagle, Seaway Falcon, Seaway Hawk, Seaway Osprey, Seaway Albatross and Seaway Swan, with the latter being the chartered vessel.

The open-deck semi-submersible vessels are used to transport offshore wind foundations, substations, jack-up vessels, offshore modules and other oversized cargo. Seaway7 says its fleet can carry loads of up to 55,000 tonnes.

Completion of the acquisition by HEA is expected in the first half of 2027, subject to customary closing conditions, including regulatory approvals. The financial terms have not been disclosed.

Subsea7 said the sale constitutes a permitted business divestment under its merger agreement with Saipem, with the transaction to trigger a EUR 105 million special dividend to Subsea7 shareholders, as approved at the company’s extraordinary general meeting in September 2025.

For HEA Energy, the acquisition adds heavy transportation capabilities to its existing portfolio of offshore support and jack-up vessels. The Abu Dhabi-headquartered company has been expanding its presence in the European offshore wind market, including through the acquisition of three Seajacks jack-ups from Eneti in 2023 and two offshore wind support vessels, Thor and Wind Lift 1, from Semco Maritime in August 2026.

HEA Energy said the acquisition of the Seaway7 heavy transport fleet will make it the only owner of this type of vessel in the Middle East.
